By creating an account, accessing, or using Imegia's services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. These terms constitute a legally binding agreement between you and Imegia.

We reserve the right to modify these terms at any time. Continued use of our services after any changes constitutes acceptance of the new terms.

Imegia provides AI-powered creative tools for generating images, videos, 3D models, and other digital content. Our services include, but are not limited to:

• Image generation and editing
• Video creation and animation
• 3D model generation
• Fashion photography with AI models
• Talking avatar creation
• Motion transfer and video effects

By using our services, you acknowledge and agree that:

• Dynamic Generation: All content is generated dynamically by AI algorithms. Each generation may produce different results, even with identical inputs.
• Unpredictable Results: AI-generated content is inherently unpredictable. We cannot control, predict, or guarantee the specific characteristics, quality, or nature of any generated content.
• No Guarantees: We make no warranties or guarantees regarding the accuracy, completeness, reliability, or suitability of AI-generated content for any specific purpose.
• User Discretion: You are solely responsible for reviewing, evaluating, and determining the appropriateness of any content generated through our services before use.

Specifically, Imegia is not responsible for:

• Your Creations: Any content you generate using our tools, including its accuracy, legality, or appropriateness.
• Third-Party Creations: Any content created by other users on our platform, regardless of how it may affect you or others.
• AI Output: The specific output, characteristics, or results produced by our AI systems, as these are dynamically generated and beyond our direct control.
• Commercial Use: Any consequences arising from the commercial use of AI-generated content, including but not limited to business losses, reputational damage, or legal claims.
• Intellectual Property: Any claims that AI-generated content infringes on third-party intellectual property rights.
• Emotional or Psychological Impact: Any distress, offense, or harm caused by viewing or interacting with AI-generated content.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMEGIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

As a user of Imegia, you agree to:

• Lawful Use: Use our services only for lawful purposes and in compliance with all applicable laws and regulations.
• Content Review: Review all AI-generated content before use and take full responsibility for how you use, distribute, or publish such content.
• No Harmful Content: Not use our services to create content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable.
• Respect Rights: Not use our services to infringe upon the intellectual property rights, privacy rights, or other rights of any third party.
• Account Security: Maintain the confidentiality of your account credentials and be responsible for all activities under your account.
• Accurate Information: Provide accurate and complete information when creating your account and using our services.

You may not use Imegia to:

• Create content depicting real individuals without their consent
• Generate deepfakes or misleading content intended to deceive
• Produce illegal content, including but not limited to child exploitation material
• Create content that promotes violence, hatred, or discrimination
• Generate spam, malware, or content for fraudulent purposes
• Violate any applicable laws, regulations, or third-party rights
• Attempt to reverse engineer, hack, or compromise our systems
• Resell, redistribute, or sublicense our services without authorization

Violation of these prohibitions may result in immediate termination of your account and potential legal action.

Your Content: Subject to these Terms, you retain ownership of original content you upload to our platform. By uploading content, you grant Imegia a limited license to process such content solely for the purpose of providing our services.

AI-Generated Content: You own the rights to content you generate using our tools, subject to the following conditions:

• You must have a valid, active subscription or have used valid credits to generate the content
• The content was generated in compliance with these Terms
• Your ownership is subject to any applicable intellectual property laws

Our Platform: All rights, title, and interest in Imegia's platform, technology, branding, and proprietary content remain exclusively with Imegia.

You agree to indemnify, defend, and hold harmless Imegia, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of our services
• Content you create, upload, or distribute through our platform
• Your violation of these Terms
• Your violation of any rights of any third party
• Any claim that content you created caused damage to a third party

We strive to maintain continuous service availability, but we do not guarantee uninterrupted access to our platform. We reserve the right to:

• Modify, suspend, or discontinue any aspect of our services at any time
• Perform maintenance that may temporarily affect service availability
• Limit or restrict access to certain features based on subscription level

We shall not be liable for any interruption or discontinuation of services.

If you purchase a subscription or credits:

• Billing: You authorize us to charge your payment method for all fees associated with your subscription.
• Renewal: Subscriptions automatically renew unless cancelled before the renewal date.
• Price Changes: We may change prices with reasonable notice. Continued use constitutes acceptance of new pricing.

We offer a limited refund policy under the following conditions:

• Eligibility: Refunds are available only for your first subscription purchase.
• Time Limit: Refund requests must be made within 3 (three) days of the original purchase date.
• Usage Limit: You must not have consumed more than 20% of your plan's included Mana at the time of the refund request.
• Excluded Purchases: Mana packages, subscription renewals, and any purchases made after your initial subscription are not eligible for refunds.
• How to Request: To request a refund, contact our support team at support@imegia.com within the 3-day window.

After the 3-day period or if the usage limit has been exceeded, all sales are final. We reserve the right to deny refund requests that do not meet the above criteria or that we reasonably believe are fraudulent or abusive.

We may terminate or suspend your account and access to our services at any time, with or without cause, and with or without notice. Reasons for termination may include:

• Violation of these Terms
• Conduct that we determine is harmful to other users or our platform
• Extended periods of inactivity
• Request by law enforcement or government agencies

Upon termination, your right to use our services ceases immediately. Provisions that by their nature should survive termination shall survive.

Any disputes arising from these Terms or your use of our services shall be resolved through:

• Informal Resolution: We encourage you to contact us first to resolve any disputes informally.
• Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration, except where prohibited by law.
• Governing Law: These Terms shall be governed by applicable law, without regard to conflict of law principles.

You agree to waive any right to participate in class action lawsuits or class-wide arbitration against Imegia.

• Entire Agreement: These Terms constitute the entire agreement between you and Imegia regarding the use of our services.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in effect.
• Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent.
